Provider Agreement

This Provider Agreement supplements the Splash Rides Terms of Service (v7.2) and applies specifically to Boat Owners listing services on the Platform. By completing registration as a Service Provider, you agree to this Agreement in addition to the Terms of Service and Privacy Policy.

1. Independent Contractor Status

You are an independent contractor, not an employee, agent, joint venturer, or partner of Splash Rides Ltd. Nothing in this Agreement creates an employment, agency, or partnership relationship.

You are solely responsible for: (a) all federal, state, local, and national taxes on your income; (b) your own health, workers’ compensation, and other insurance; (c) all business expenses including fuel, maintenance, docking fees, and equipment; and (d) compliance with all laws applicable to your services.

To register and remain active as a Service Provider, you must at all times:

3. Bareboat and Captained Charter Requirements

3.1 Captained Charters. When you provide a Captain, the Captain must hold a valid USCG OUPV/Six-Pack license (or higher as required). The Captain retains command and control at all times. You are responsible for ensuring the Captain meets all licensing and insurance requirements.

3.2 Bareboat Charters. When you list without a Captain, you must clearly indicate it is a Bareboat Charter. You may set minimum experience requirements for Renters and request that Splash Rides verify Renter qualifications before confirming the booking.

3.3 USCG Compliance. Vessels carrying more than six passengers with crew provided by the Owner must be USCG-inspected and operated by a licensed Master. You are solely responsible for compliance.

4. Insurance Requirements

FAILURE TO MAINTAIN VALID INSURANCE IS GROUNDS FOR IMMEDIATE AND PERMANENT ACCOUNT TERMINATION.

4.1 Mandatory coverage. You must maintain commercial marine liability insurance with limits adequate for your jurisdiction and operating area, covering third-party bodily injury, passenger liability, and property damage for all charter operations.

4.2 Proof of insurance. Before your first listing goes live, you must upload a valid certificate of insurance. Splash Rides reserves the right to request updated certificates at any time.

4.3 Verification. Splash Rides’s review is a limited administrative check only — not an endorsement of coverage adequacy. You are solely responsible for ensuring sufficient coverage.

4.4 Lapse notification. Any lapse, suspension, cancellation, or material change must be reported immediately to pro-support@splash-inc.com. You must cease all operations through the Platform until coverage is restored.

4.5 Recommended minimums. Splash Rides strongly recommends minimum coverage of $500,000 per occurrence for bodily injury/property damage liability. Consult a marine insurance specialist for your specific operations.

5. Commission Structure and Payments

Where a booking is a Captained Charter, the Captain is provided by you (either yourself or a person you engage). The Captain’s compensation is between you and the Captain; Splash Rides charges no separate captain-services fee.

Payout Schedule: Earnings become available after payment capture and trip completion. Standard payouts: 2–3 business days (free). Instant payouts: 1.99% fee.

Stripe Connect: You must complete Stripe’s onboarding and identity verification before receiving payouts.

Taxes: You are solely responsible for reporting and paying all taxes on your earnings.

Chargebacks: You are responsible for the full amount of any chargeback. If a chargeback occurs after payout, Splash Rides will debit your connected account. An administrative fee of up to £25 may apply.

6. Security Deposit

6.1 You may set a Security Deposit amount on each listing to protect against incidental damages. The deposit is held (not charged) on the Renter’s payment method.

6.2 Filing a claim. If you discover damage, submit a claim through the Platform within 48 hours of the trip end time, including photographic/video evidence and estimated cost.

6.3 Claims submitted after 48 hours are not eligible for deposit capture.

6.4 Damages exceeding the deposit are between you and the Renter. Splash Rides is not liable for excess amounts.

7. Vessel Requirements and Minimum Quality Standards

All listed vessels must:

You must conduct a comprehensive safety briefing with all passengers before departure, covering emergency procedures, life jacket locations, man-overboard procedures, fire extinguisher locations, and communication protocols.

8. Cancellation and Weather Policy

8.1 You must select a cancellation tier (Flexible, Moderate, or Strict) when creating a listing.

8.2 You must honor all confirmed bookings. If you cancel, the Renter receives a full refund including the service fee.

8.3 Penalties. Repeated cancellations result in reduced visibility, warnings, suspension, and ultimately permanent termination.

8.4 Weather. When Extenuating Circumstances (as defined in the Terms of Service Section 9) apply, you will not be penalized. You are encouraged to offer rescheduling.

8.5 Safety-first obligation. You must cancel any trip where conditions make boating unsafe, regardless of Renter preferences or financial implications. Your safety judgment overrides all other considerations.

9. On-Platform Communications

ALL communications with Renters must occur through in-app messaging. Off-platform solicitation, sharing personal contact info to circumvent fees, or conducting bookings outside the Platform = IMMEDIATE PERMANENT TERMINATION and forfeiture of all pending earnings.

10. Reviews and Ratings

Renters may rate and review their experience. You may not offer incentives for positive reviews, threaten Renters regarding reviews, or post fake reviews. Splash Rides reserves the right to remove reviews that violate policies but will not remove legitimate negative feedback.

11. Account Suspension and Termination

Splash Rides may suspend or terminate your account immediately for: (a) Agreement or Terms violations; (b) safety incidents; (c) fraud or deception; (d) average rating below 3.5 over 10+ reviews; (e) cancellation rate exceeding 10%; (f) lapsed credentials or insurance; (g) failure to meet minimum quality standards; (h) conduct harmful to Users or the Platform.

Upon termination, pending earnings for completed trips will be paid per standard schedule. Disputed bookings may be withheld pending resolution.

12. Indemnification

You agree to indemnify, defend, and hold harmless Splash Rides Ltd from all claims, liabilities, damages, losses, costs, and attorneys’ fees arising from: your services; vessel condition/safety/operation; any injury, death, or property damage during your services; violation of this Agreement or any law; any third-party claim from your activities; and any tax obligations from your earnings.

13. Entire Agreement

This Provider Agreement, together with the Terms of Service (v7.2) and Privacy Policy (v7.2), constitutes the entire agreement regarding your role as a Service Provider. In case of conflict, this Agreement controls for Provider-specific obligations.
